Terms of Use

These Terms of Use (the “Terms”) govern access to, browsing of and use of the website www.kalinaadvisory.com and any connected pages (the “Website”), owned and operated by Sergei Kalina, practising under the trade name Kalina Advisory, NIE Z0753478A, with address at Calle de la Antracita 10, 28045 Madrid, Spain (the “Owner”, “we”, “us” or “our”). Full identifying and regulatory information is set out in the Legal Notices.

These Terms complement, and must be read together with, the Legal Notices, the Privacy Policy and the Cookie Policy, which form part of them.

  1. Acceptance of the Terms
    1. By accessing and browsing the Website, you acquire the condition of user (the “User”) and accept these Terms in full and without reservation, in the version published at the time of access.
    2. If you do not agree with these Terms, in whole or in part, you must refrain from accessing and using the Website.
    3. We may amend these Terms at any time in order to adapt them to legislative or case-law developments, or to the activity carried on through the Website. Any amendment takes effect upon its publication on the Website. We recommend that you review these Terms each time you access the Website.
    4. The use of certain content or functionalities may be subject to particular conditions which, where applicable, complement these Terms and prevail over them in respect of that content or functionality in the event of conflict.
  2. Purpose
    1. The Website has an informative and professional purpose: it provides information about the economic and business consulting and advisory services offered by the Owner and enables Users to make contact.
    2. The content of the Website is of a general nature and is provided for information purposes only. It does not constitute professional, economic, financial, tax or legal advice applicable to a particular situation, nor a binding offer of services, and must not be relied upon as a substitute for advice tailored to your circumstances.
    3. Neither access to the Website, nor the use of its contact forms, nor the sending of communications to the Owner creates a professional or contractual relationship between the Owner and the User. Communications sent through the Website will not be treated as confidential and do not give rise to any obligation to respond. A professional engagement arises exclusively from a separate agreement expressly accepted by both parties, following the Owner’s client-acceptance process.
  3. Conditions of access
    1. Access to the Website is free of charge, without prejudice to the cost of the User’s own telecommunications connection.
    2. As a general rule, the use of the Website does not require prior registration.
    3. The Website is intended for persons of legal age. By using it, the User declares that they are at least 18 years old and have sufficient capacity to be bound by these Terms.
  4. Permitted use of the content
    1. Subject to these Terms, the User may:
      1. view the Website electronically;
      2. print or store on their own device extracts of the Website (“extracted content”) solely for their personal use or for the legitimate internal purposes of their business or that of their employer; and
      3. occasionally and free of charge provide extracted content to individual third parties for their personal use only, provided that any attribution or reservation-of-rights notice and a reference to the Website (www.kalinaadvisory.com) remain intact, that the User informs the third party that these Terms apply, and that the extracted content is provided in complete and unmodified form.
    2. Except as expressly permitted above, the User may not incorporate the content of the Website, in whole or in part, into any other work or publication, whether in hard copy, electronic or any other form, and may not distribute or reproduce any part of it for commercial purposes or against payment.
  5. Obligations of the User
    1. The User undertakes to use the Website in accordance with the law, these Terms, public order and good faith, and shall in particular refrain from:
      1. using the Website for unlawful purposes or purposes contrary to these Terms, or that harm the rights or interests of the Owner or of third parties;
      2. introducing or disseminating viruses, malicious code or any other element liable to damage, interrupt or impair the Website, its systems or those of third parties;
      3. attempting to obtain unauthorised access to, or to use or manipulate, areas, systems or data of the Owner or of third parties;
      4. sending, uploading or transmitting through the Website any content that is unlawful, offensive, untrue, misleading or defamatory, or that infringes the rights of third parties;
      5. using the Website to advertise or offer goods or services to other users, or to obtain any commercial benefit from its content; and
      6. carrying out any act that may overload, damage or disable the Website or prevent its ordinary use.
    2. The User shall hold the Owner harmless against any damage, loss, claim or penalty arising from any breach by the User of these Terms or of applicable law.
  6. Intellectual and industrial property
    1. All content and elements of the Website — including its texts, images, design, software, source code, the trade name Kalina Advisory, logos and distinctive signs — are owned by the Owner or by third parties who have authorised their use, and are protected by intellectual and industrial property law.
    2. No content of the Website may be reproduced, distributed, publicly communicated, transformed or otherwise exploited beyond what is permitted in the “Permitted use of the content” section, without the prior written authorisation of the Owner, save where permitted by law.
    3. The Owner reserves all rights not expressly granted and the right to take any legal action available to it against any infringement.
  7. Hyperlinks and third-party sites
    1. The Website may contain links to third-party sites which the Owner does not control. The Owner is not responsible for the content, products, services or practices of those sites, and the inclusion of a link does not imply any recommendation, endorsement or relationship with them. When accessing those sites, the User will be subject to the terms and conditions of each of them.
    2. Any third party wishing to establish a link to the Website must comply with the conditions set out in the Legal Notices.
  8. Exclusion of warranties and liability
    1. The Owner uses reasonable efforts to ensure the proper functioning of the Website but does not guarantee its continuous availability or that it will be free from errors or interruptions.
    2. To the fullest extent permitted by law, the Owner shall not be liable for:
      1. interruptions, suspensions, delays or errors in access to or operation of the Website arising from technical incidents, maintenance, telecommunications failures or causes beyond its reasonable control;
      2. damage caused by viruses or other harmful components present in the User’s systems or originating from third parties;
      3. the content, products or services of third-party sites accessible through links; and
      4. the decisions taken by the User on the basis of the general information published on the Website, for which the User is solely responsible.
    3. Nothing in these Terms excludes or limits the Owner’s liability for fraud (dolo), for damage caused by wilful misconduct or gross negligence, or for any liability that may not be excluded or limited under mandatory Spanish law, including consumer protection legislation.
  9. Availability, suspension and duration
    1. The Website is offered for an indefinite period.
    2. The Owner reserves the right to modify, update, suspend, restrict access to or discontinue the Website, or any of its content or services, at any time and without prior notice, in particular for maintenance, security, technical or legal reasons, without this giving rise to any right to compensation in favour of the User.
  10. Personal data and cookies
    1. The processing of personal data carried out through the Website is governed by the Privacy Policy, and the use of cookies by the Cookie Policy, both of which form an integral part of these Terms.
  11. Commercial communications
    1. The Owner will send commercial communications by electronic means only where permitted by law or where the User has expressly consented.
    2. The User may withdraw such consent and object to receiving such communications at any time, free of charge, by writing to info@kalinaadvisory.com.
  12. Language
    1. These Terms and the content of the Website are published in English. Where a translation into another language is provided, the English version shall prevail in the event of any discrepancy.
    2. The applicable law and jurisdiction shall be those set out in the “Governing law and jurisdiction” section, regardless of the language in which the Website is consulted.
  13. Severability
    1. If any provision of these Terms is declared null, invalid or unenforceable, in whole or in part, the remaining provisions shall retain their full validity and effect.
    2. The affected provision shall be deemed not to have been included or shall, so far as possible, be replaced by another valid provision that achieves an effect as close as possible to that originally intended.
  14. Governing law and jurisdiction
    1. These Terms are governed by and construed in accordance with Spanish law.
    2. For the resolution of any dispute arising from or in connection with the Website or these Terms, the parties submit to the Courts and Tribunals of the city of Madrid (Spain).
    3. The foregoing is without prejudice to any forum that may be mandatorily applicable to Users who are consumers under applicable consumer protection legislation.
